Terms of Sale

1. Purpose and provider
These general terms ("Terms of Sale") govern the services offered by Wanis Bensalah (Sole trader), 44 rue Gounod, Palais Othello, 06000 Nice, France (SIREN 106 156 029), trading under the commercial name "Neroli". Any booking implies full and unreserved acceptance of these Terms.
2. Nature of the services and role of intermediary
Neroli offers prestige mobility services (the provision of vehicles, yachts, jets and helicopters, chauffeurs), concierge services, as well as an activity of intermediation and booking of premium services. For some of these services, Neroli acts as an intermediary (introducer): the service is performed by a partner provider (rental house, skipper, air operator, etc.), to whom the client is introduced. In such cases, Neroli is not party to the contract concluded with the provider and is not responsible for its performance.
3. Quote and booking
Each service is subject to a prior quote. The booking is confirmed only after written agreement of the parties and, where applicable, payment of the agreed deposit. The specific conditions (security deposit, insurance, required age and licence, conditions of navigation or flight) are set out in the quote and in the contract for each service.
4. Price and payment
Prices are stated in euros and provided in a personalised quote. VAT not applicable — article 293 B of the CGI (VAT-exempt small-business scheme). The terms and time limits for payment are set out in the quote. Late payment may give rise to the penalties provided for by law.
5. Right of withdrawal
In accordance with article L.221-18 of the French Consumer Code, the consumer is in principle entitled to a period of fourteen (14) days to withdraw from a contract concluded at a distance.
Services without a right of withdrawal. Pursuant to article L.221-28, this right does not apply to services of accommodation, transport, vehicle rental, catering or leisure activities provided on a specified date or at a specified frequency — which notably covers car rentals, yacht charters and flights on an agreed date. Such bookings are firm as soon as they are confirmed.
Services with a right of withdrawal. For other services (concierge services with no specified date, watchmaking introductions), the consumer retains the 14-day period. If they request that performance begin before the end of this period, their express agreement is obtained; in the event of withdrawal after performance has thus begun, the amount corresponding to the services already provided remains payable.
To exercise this right, the consumer notifies their decision by an unambiguous statement to contact@neroli-services.fr. Model form: "To the attention of Neroli — I hereby notify you of my withdrawal from the contract relating to the following service: […], ordered on: […] — name: […] — address: […] — date: […]."
6. Warranties
For any sales of goods, the client benefits from the statutory warranty of conformity (articles L.217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (articles 1641 et seq. of the French Civil Code). Services, for their part, fall under the general law of contractual liability. For intermediation services, the warranties relating to the asset or the service are those of the seller or partner provider, Neroli acting only in respect of the introduction. In particular, for watchmaking introductions, a sale concluded between two private individuals does not give rise to the statutory warranty of conformity, which is reserved for sales carried out by a professional seller.
7. Cancellation and modification
The conditions for cancellation and modification are set out in the specific conditions of each booking and may vary according to the provider and the notice period.
8. Liability
The liability of Wanis Bensalah is limited to the services of which he is directly the provider. For intermediation services, his liability is limited to the quality of the introduction, to the exclusion of the performance of the service by the partner.

10. Complaints and mediation
Any complaint may be addressed to contact@neroli-services.fr. In accordance with article L.612-1 of the French Consumer Code, the consumer may refer the matter free of charge to a consumer mediator: [à compléter — médiateur de la consommation].
11. Applicable law
These Terms of Sale are governed by French law. Failing an amicable resolution, any dispute falls within the jurisdiction of the French courts.
